By accessing or using oklido ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

1. Acceptance of Terms

By creating an account or using oklido, you agree to:

2. Description of Service

oklido provides a document management platform designed for investment professionals and family offices to:

  • Store and organise investment-related documents
  • Automatically classify documents using AI
  • Search and retrieve documents
  • Share documents with authorised users
  • Connect email accounts for automatic document capture

The Service includes features that may vary based on your subscription plan.

3. User Accounts

Account Creation

To use certain features, you must create an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorised use
  • Accept responsibility for all activities under your account

Account Security

You are responsible for:

  • Keeping your password confidential
  • Restricting access to your account
  • All activities that occur under your account

We recommend enabling multi-factor authentication (MFA) for additional security.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

  • Upload illegal, harmful, or infringing content
  • Attempt to gain unauthorised access to any part of the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Use the Service for fraudulent or deceptive purposes
  • Violate any applicable laws or regulations
  • Reverse engineer or attempt to extract source code
  • Use automated systems to access the Service without permission

5. Content Ownership

Your Content

You retain ownership of all documents and content you upload to the Service. By uploading content, you grant us a limited, non-exclusive license to:

  • Store your content on our infrastructure
  • Process your content (including AI classification)
  • Display your content to you and authorised users
  • Create backups for disaster recovery

We do not claim ownership of your content and will not use it for any purpose other than providing the Service.

Our Content

The Service, including its software, design, and documentation, is owned by oklido and protected by intellectual property laws. You may not copy, modify, or create derivative works without our consent.

6. Subscription and Payment

Subscription Plans

Certain features require a paid subscription. Current plans and pricing are available at oklido.com/pricing.

Billing

  • Subscription fees are billed in advance (monthly or annually)
  • Payments are processed securely through Stripe
  • You authorise us to charge your payment method

Price Changes

We may change our prices with 30 days' notice. Price changes take effect at your next billing cycle.

Refunds

  • All fees are non-refundable except as required by law
  • We offer a 14-day money-back guarantee on new subscriptions
  • Contact support for refund requests

Non-Payment

Failure to pay may result in:

  • Suspension of your account
  • Downgrade to free features
  • Termination after 30 days

7. Service Availability

Uptime

We strive to maintain high availability but do not guarantee uninterrupted access. Check our status page for current service status.

Maintenance

We may perform scheduled maintenance with advance notice where possible. Emergency maintenance may occur without notice.

Changes to Service

We may modify, suspend, or discontinue features with reasonable notice. We will provide at least 30 days' notice for material changes affecting paid features.

Data Location

Your data is stored in the UK (AWS London region) unless otherwise specified.

Data Export

You can export your data at any time through Settings → Data Export.

9. Intellectual Property

Service IP

The Service's software, design, trademarks, and documentation are owned by oklido. You receive a limited, non-exclusive license to use the Service as permitted by these Terms.

Feedback

If you provide feedback or suggestions, we may use them without obligation to you.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, express or implied.

Limitation of Damages

oklido shall not be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, data, or business opportunities
  • Damages exceeding fees paid in the prior 12 months

Exceptions

These limitations do not apply to:

  • Fraud or wilful misconduct
  • Death or personal injury from negligence
  • Matters that cannot be limited by law

11. Indemnification

You agree to indemnify oklido from claims arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of third-party rights
  • Content you upload to the Service

12. Termination

By You

You may terminate your account at any time through Settings → Account → Delete Account. Upon termination:

  • Export your data before deletion
  • Access ends immediately
  • Refunds are not provided for remaining subscription period

By Us

We may terminate or suspend your account for:

  • Violation of these Terms
  • Non-payment
  • Fraudulent activity
  • Extended inactivity

We will provide notice where reasonably possible.

Effect of Termination

Upon termination:

  • Your right to use the Service ends immediately
  • Your data will be deleted per our retention policy
  • Provisions that should survive termination remain in effect

13. Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law provisions.

Dispute Resolution

Any disputes will be resolved through:

  1. Informal negotiation (30 days)
  2. Mediation (if negotiation fails)
  3. Courts of England and Wales (if mediation fails)

14. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and other referenced policies, constitute the entire agreement between you and oklido.

Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

No Waiver

Our failure to enforce any right does not waive that right.

Assignment

You may not assign your rights under these Terms. We may assign our rights to a successor or affiliate.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via:

  • Email notification
  • In-app notice
  • Update to this page

Continued use after changes constitutes acceptance.
